Online agreement of names is carried out by using the Web portal of the Unified State Register of Legal Entities and Individual Entrepreneurs (http://egr.gov.by) (hereinafter - the web portal) with respect to legal entities registered in accordance with the Decree of the President of the Republic of Belarus of January 16, 2009 № 1 "On state registration and liquidation (ceasing of activities) of economic entities": business partnerships and companies, unitary enterprises, production cooperatives, state associations, farming enterprises, associations (unions), consumer cooperatives (building consumer cooperatives, garage-building consumer cooperatives gasification cooperatives and other) horticultural partnerships, institutions, associations of owners; individual entrepreneurs
To fill the online application on the legal entity name agreement, the applicant shall:
At the same time, prior to filling the application, the selected name of a legal entity can be checked using a list of agreed (reserved) names of legal entities placed on the USR web portal.
The applicant may submit for approval 3 name options. At that, the approval will be carried out in the order in which the names are listed in the application, to the first name, which meet the requirements established by law. Thus, when specifying the name, the applicant who has several name options of the legal entity must arrange them in the order according to his or her preference.
One and the same applicant may submit another application for the approval of the name of the legal entity only after the receipt of the response of the registration authority of the outcome of the previous application.
Application of the legal entity name agreement will automatically be sent to the registration authority in accordance with its competence according to the place of residence of the applicant as a natural person or location of the applicant-legal entity.
In the cases established by law, .pdf scanned documents must be attached to the filled application form (the document confirming the authority of the applicant, permission to use the surnames, pseudonyms of famous people or names of legal entities in cases stipulated by law).
The certificate is valid for 1 month.
The procedure of a legal entity name agreement is performed free of charge.
Online agreement of a legal entity name is considered to be consistent in the case of receipt of the certificate on name approval and inconsistent - in the case of receipt of the certificate with refusal to agree on the name signed with electronic signature of the authorized officer of the registering authority.
These certificates are sent to the applicant in his e-mail no later than one working day from the date of application.

For example, for the state registration of a business entity, it is enough for one of the founders to have a digital signature who will be authorized by the rest of the shareholders to act on their behalf by issuing a power of attorney. If the number of founders of the organization is more than three, they are entitled to authorize one of them to sign the statement in the document, confirming the intention to create an organization (the General Meeting minutes), and this document is therefore submitted to the registering authority.
In addition, shareholders may entrust the preparation and submission of documents to the registration authority for the state registration of the organization to another person, possessing electronic signature
Applicants submitting documents for online registration of business entities are exempt from state fees (p.p. 8.21 p. 8, Art. 257 of the Tax Code of Belarus).
The list of documents required to be submitted to the registering body is similar to a personal appeal to the registration authority and is established by the Regulations on the state registration of business entities approved by Presidential Decree of 16 January 2009 № 1. When sending documents through a web portal the latter should be scanned in .pdf format and signed with the electronic digital signature of the applicant, who sent them.
Notification on the performance of the procedure signed with the electronic digital signature of the registering body officer is the confirmation of the state registration of a business entity, as well as electronic documents testifying the implementation of the state registration (the articles of association stamped testifying the implementation of state registration and the state registration certificate).
At that the articles of association (foundation agreement) of the legal entity with a stamp and the certificate of state registration on paper medium may be issued by the registration authority if the applicant (the applicant’s representative if the documents confirming his powers are available) address in person.
According to P. 22 of the Regulations on the state registration of business entities approved by Presidential Decree of 16 January 2009 № 1, legal entities in the case of change of their location or appointment (substitution) of the head shall send a notification to the registration authority within ten working days from the date of occurrence of such events.
With the private key of electronic digital signature (EDS), this can also be done through a web portal.
At the same time, we pay your attention that these notifications can be signed only with electronic signature issued to the head of the legal entity (not the deputy head, accountants, economists, etc.).
Online filling of applications and notifications on the issues of state registration of business entities
There is a service in the open part of the web-portal of the Unified State Register of Legal Entities and Individual Entrepreneurs (it is possible to get there without an EDS key) that enables with the help of the so-called "tips" to fill in online forms of various applications (notifications) for their subsequent personal submission to the registering authority.
When filling out the application (notification) in the web-portal the latter are assigned the identification code (number of the document formed on egr.gov.by), which is specified at the end of the application (notice) under the date.
When the applicant applies to the registration authority with the filled on the web portal application, its number allows the officer of the registering body to automatically enter the information contained in the application (notification) to the USR database.
Filling in of applications (notifications) through a web portal allows to save the time both of an applicant and a registrar, to avoid mistakes when filling in applications and improves the quality of the submitted documents to the registering authority.
To use this service, you need to log the section "Document preparation" in the portal and select the application (notification) form to fill in.
Currently, through USR web portal a request (application) can be sent to the Ministry of Justice to provide information from the USR in electronic form.
A legal person for the purpose of paying the state fee for the provision of information from the USR by using SSIS "Internet Banking" system will need to use a corporate bank payment card.
The original statement signed by the authorized person of the Ministry of Justice is issued to the person concerned on hand or sent by mail, and electronic version of the statement at the same time is sent to the email address of the applicant.
Please note that persons who are exempt from the state fees payment for the provision of information from the USR in accordance with the laws cannot use the service.
This also applies to such organizational and legal forms, as banks, republican state-public associations, foundations, arbitration courts, the Bar, law offices, Belarusian Chamber of Notaries, the organization providing mediation, as well as political parties and other public associations, their unions (associations), unions (associations) on the type (s) of sport, created with the participation of public associations (NGOs).
To use this service, you need to get to section "Provision of information from the USR" in the portal, select the sub-section "Check the existence of a business entity," and by the name (name of an individual entrepreneur) and (or) the registration number (TIN) to search for the desired subject.
As a result of the search with respect to the requested business entity, the following information is given: registration number, name (firm, full, abbreviated), date of registration, registration authority (to which the subject belongs at the moment), the status of the subject (acting, in the process of liquidation, bankrupt procedure, excluded from the USR, activity termination as a result of rearrangement) and the date of exclusion from the USR (in the case of exclusion of the subject from the USR).
